Version 2026-10-27

These rules are part of the platform terms of Unworn i.o., operating as Unworn, and apply to every offer, bid and sale concluded through the platform. They exist in Dutch, English, German, French, Spanish and Italian; if the versions differ, the English text prevails. A bid and an acceptance each record the version of these rules under which they were made. Questions go to [email protected].

A seller reads "lot" for what its own screens call an offer. A working day is a day on which banks in the Netherlands are open; every other period is in calendar days. The window and the payment boundaries are set per lot and shown with it; every other number in these rules is the current default. Every amount is in euro.

1. The lot

1.1 A lot is a defined quantity of goods that one seller sells as one whole. The lot page shows everything you bid on: the description, the three condition facts and the seller's fault note, the units per size and the unit definition (pieces per unit), the season, the photos, the logistics summary (cartons, pallets, gross weight, loading metres and the country where the goods are), the incoterm, the payment boundaries and the window.

1.2 The three condition facts are: quality, first or seconds; hang tags, with, without or mixed; packaging, original, damaged or missing, or mixed. The fault note is the seller's own description of known faults. The seller warrants that the facts, the note and the photos are truthful and representative.

1.3 Every lot is sold EXW from the warehouse where the goods are. The platform never arranges transport, never holds the goods and never owns them.

1.4 The payment boundaries state the longest payment term and the payment structures a bid may use. The default on every lot is that everything is paid before the goods are released; a seller may widen that per lot.

1.5 The window is the period in which bids are taken. The seller sets it per lot. After it ends no new bid is taken.

1.6 A lot never shows the reserve, other bids or the number of bidders. Where the lot says so, the seller's name is withheld until the seller accepts a bid. A lot is not an inspection: you bid on what 1.1 lists and on nothing else.

2. A bid

2.1 A bid is one amount in euro for the whole lot, excluding VAT, with a payment term within the payment boundaries of the lot. A bid on part of a lot is not possible.

2.2 A bid is binding and irrevocable from the moment you place it until the end of the window plus the decision period of rule 3. You cannot withdraw it, lower it or attach a condition to it. While the window is open you may replace it with a higher bid, which binds you in the same way.

2.3 The payment term binds together with the amount. A term outside the boundaries of the lot is refused before the bid is placed; that refusal says nothing about the lot, the reserve or other bids.

2.4 A bid below the reserve is not accepted. The reserve is not disclosed. You do not see other bids or the number of bidders, and nobody on the platform's behalf advises you on what to bid.

2.5 VAT is added on the sales invoice where it applies. A reverse charge inside the EU needs a VAT number of the buyer that is valid in VIES; a check older than 30 days is repeated before the invoice is issued.

3. Award

3.1 After the window ends the seller has the decision period: 3 calendar days, unless a different period is shown with the lot. Within it the seller accepts a bid, counters it or declines it.

3.2 Silence is decline. When the decision period ends without an acceptance, the lot and every open bid expire together and every bidder is released.

3.3 A counter is a new amount proposed by the seller under the payment term of your bid. It replaces your bid. You accept or decline it before the end of the decision period; silence is decline. Accepting a counter concludes the sale in the same way as 3.4.

3.4 Acceptance concludes the sale between the seller and the buyer. The platform is not a party to it. At acceptance the platform issues the purchase order, the sales invoice in the name and on behalf of the seller under the seller's invoicing mandate, and the buyer's premium invoice.

3.5 The seller pays no fee. The buyer pays a premium on top of the subtotal, excluding VAT: 10 percent of the part of the subtotal up to EUR 10,000, 7 percent of the part from EUR 10,000 to EUR 50,000 and 5 percent of the part above EUR 50,000, with a minimum of EUR 100 per order. Each rate applies only to the part of the subtotal inside its band. The rates are frozen on the purchase order at acceptance; a later change never touches an order already issued.

4. Payment through the payment institution

4.1 This rule applies to every sale, whatever the payment term and wherever the buyer's bank account is. The buyer never pays the seller directly (rule 5).

4.2 The buyer pays the whole order, the sales invoice and the premium invoice together, in one payment to Online Payment Platform B.V. ("the payment institution") within 5 working days after acceptance. The payment institution holds the money on its own client account until the goods are accepted under rule 8 or a dispute is decided under rule 10. The money never passes through the platform's own bank account.

4.3 The buyer accepts the payment institution's terms at checkout, the seller before its first acceptance on this rail. Those terms govern only the relationship with the payment institution.

4.4 The goods are released only after the payment institution has confirmed the payment (rule 6).

4.5 A payment above EUR 999,999.99 cannot be made through the payment institution; such an order is refused, not split.

4.6 If the money has not reached the payment institution by the deadline, the hold expires and the order is cancelled. The buyer then owes a penalty of 3 percent per month on the unpaid sales invoice and its organisation is suspended.

4.7 After the goods are accepted, or a dispute is decided, the payment institution pays the seller. The buyer's premium is paid to the platform out of the same payment; the buyer does not transfer it separately.

4.8 The seller completes the payment institution's checks on its organisation and bank account; a payout waits for them. A seller that has not completed them 60 days after the first request receives a written notice and cannot accept a new bid until it has.

4.9 Under a deposit and balance term the buyer pays the deposit within 5 working days after acceptance and the balance by the date the schedule states, both to the payment institution, which holds them in the same way. The goods are released only after the payment institution has confirmed both.

4.10 If the balance has not reached the payment institution by its date, the order is cancelled and the deposit is forfeited: EUR 100 of it is paid to the platform as a cancellation charge, and the remainder is paid half to the seller and half back to the buyer. A deposit of EUR 100 or less goes to the platform in full. Rule 4.6 applies to a deposit that does not arrive.

5. No direct payment

5.1 The buyer does not pay the seller directly, under any payment term. A payment made to the seller outside the payment institution does not discharge the buyer; the seller returns it and both parties report it to the platform.

5.2 A payment term under which the goods would be released before the whole price has reached the payment institution is not available.

6. Release and collection

6.1 The goods stay in the seller's warehouse until the platform instructs the warehouse to release them. The platform gives that instruction only after the payment condition of rule 4 is met. Nobody else can release the goods.

6.2 Release means the goods are available for collection. The buyer arranges and pays the carrier and collects within 3 working days after release. Storage after those 3 working days is charged through to the buyer.

6.3 The sale is EXW. Risk passes to the buyer at collection.

6.4 Insurance is mandatory on every shipment. The buyer arranges and pays it and confirms it on the platform before collection.

6.5 For a cross border shipment the platform generates the customs document from the line data of the lot: HS code, composition and country of origin per line, as the seller supplied them. The seller warrants that data. Import and every formality in the destination are the buyer's.

6.6 A condition the lot states on resale, such as a date before which the goods may not be resold or a requirement to remove branding, is part of the sale.

7. Shipment by the seller

7.1 Before the carrier leaves, the seller supplies the packing list per line (EAN, units per size, cartons) and photos of the goods as loaded. Without them a collection does not start.

7.2 The seller makes the goods available in full from the moment of release. Where collection is delayed by the seller, because the goods are not available or the packing list is missing, the seller owes the buyer a penalty of 1 percent of the order value per week of delay. The platform records it against the seller.

8. Receiving report

8.1 Within 14 calendar days after delivery the buyer files a receiving report on the platform. Delivery is the arrival of the goods at the buyer's destination.

8.2 The report states per line: the EAN, the units expected, the units received, whether the condition is as listed in the three condition facts and the fault note, the units damaged and the units missing. It carries photos taken at unloading, before the goods are moved into stock.

8.3 A report that states no difference accepts the goods: the hold at the payment institution ends. No report within the 14 days is irrevocable acceptance, with the same effect.

8.4 A report that states a difference opens a dispute under rule 10. A report without lines or without photos is not a report.

9. Short delivery

9.1 A short delivery is fewer units received than sold, measured in units over the whole lot against the purchase order.

9.2 Up to and including 10 percent, the sales invoice is corrected pro rata for the missing units: a partial refund from the hold at the payment institution. No penalty for the seller, no cancellation for the buyer.

9.3 Above 10 percent, the sales invoice is corrected pro rata in the same way, and the buyer may cancel, in the receiving report, each SKU that was delivered short. A cancelled SKU comes off the sales invoice in full; units of it that were received go back to the seller at the seller's cost. The shortfall is recorded as a penalty against the seller and weighs on its standing on the platform.

10. Disputes

10.1 Opening. Only the buyer opens a dispute, only within the receiving report window of rule 8, and only with a receiving report that names the changed lines and carries photos taken at unloading. A report without lines or without photos is not a dispute. Opening a dispute freezes every settlement line and extends the hold at the payment institution by 30 days.

10.2 Scope. A dispute is about: quantities, against the packing list; condition, against the three condition facts and the fault note; wrong goods; transport damage, but only where the packing and loading photos show that the goods were sound at loading and the carrier's damage report is attached. Out of scope, and refused as a dispute: expectations, market price, resaleability, and anything that was visible in the lot's photos and description at the time of the bid.

10.3 Answer. The seller answers within 3 working days with the packing list and the loading photos. No answer is taken as agreement with the buyer's report.

10.4 Decision. The platform decides within 15 working days after the seller's answer or after the deadline for it: release in full, refund in full, or a split per line. It gives its reasons in the dispute thread. Both parties accept the decision in advance as a binding advice within the meaning of article 7:900 of the Dutch Civil Code and instruct the payment institution accordingly. A party may contest the decision before the Rechtbank Amsterdam within 30 days after the decision. The payment institution executes the decision regardless, and the court decides on the money afterwards.

10.5 Escalation to the payment institution. Where the platform refers the dispute to the payment institution's own mediation, which is possible only on a transaction the institution holds, the institution's outcome replaces the platform's decision for the money in the hold, and the dispute thread becomes read only.

10.6 Evidence. A party that does not produce the evidence these rules require loses the point that evidence would have proved. The platform's audit log, the lot as published, the receiving report and the dispute thread are the record.

10.7 Return of goods after a refund. Goods refunded in full are returned to the seller at the cost of the party the decision found against. Until then the buyer holds them with the care of a good custodian and may not use or sell them. A partial refund leaves the goods with the buyer.

10.8 Bad faith. A dispute found to be filed on false evidence is dismissed and logged, and is a ground for suspension.

11. All sales final

11.1 Every sale is final. After acceptance there is no return, no refund and no cancellation, other than through rule 9, rule 10, or the cancellation of an order whose payment was not received under rule 4.

12. Non circumvention

12.1 An introduction takes place when a party learns the identity of a counterparty through the platform, in connection with a lot or otherwise. The platform logs every introduction with both parties and the moment; that log is the evidence.

12.2 For 12 months after an introduction neither party buys from or sells to the other, directly or through an intermediary, the goods of the lot or comparable goods, other than through the platform.

12.3 A party that breaches this rule owes the platform a penalty equal to the fees that would have been due had the trade run through the platform, with a minimum of EUR 5,000 per breach, due on demand and without prejudice to the actual loss where it is higher. The party is excluded from the platform.

13. Destination reporting

13.1 Where the lot says that destination reporting is required, the buyer reports to the platform, after delivery and when asked, in which country the goods went, through which channel, and whether they were resold. The report is shared with the seller. Not answering lowers the buyer's standing on the platform and its access to later lots.

14. Law and court

14.1 Dutch law applies to these rules and to every sale concluded through the platform. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

14.2 The Rechtbank Amsterdam has exclusive jurisdiction over every dispute arising from these rules or from a sale concluded through the platform, without prejudice to rule 10.

14.3 These rules exist in Dutch, English, German, French, Spanish and Italian. If the versions differ, the English text prevails.
